CYCLEDIOS SMART BICYCLE & SMART DUDU
USER RENTAL SERVICE AGREEMENT

IMPORTANT: Please read this Agreement carefully before registering, paying, unlocking or using a Smart Bicycle or Smart DUDU. By selecting “AGREE”, making payment, unlocking a vehicle or commencing a ride, you confirm that you have read, understood and agreed to be bound by this Agreement.

This User Rental Service Agreement (the “Agreement”) is made between CYCLEDIOS MANAGEMENT SDN. BHD. (“CYCLEDIOS”, the “Company”, “we”, “us” or “our”) and the person who registers for, pays for or uses the Services (the “User”, “you” or “your”). It governs your account and your access to and use of CYCLEDIOS smart tourism mobility rental services.

1. DEFINITIONS

Account: your registered CYCLEDIOS user account.

WebApp : the CYCLEDIOS web application, mobile application, QR-based rental interface or website used to access the Services.

Designated Parking Area: a return zone or parking area approved by CYCLEDIOS or the relevant Site Operator and identified by signs, the system, geofencing or staff instructions.

Rental Period: the period beginning when the Vehicle is unlocked or the ride is otherwise activated, and ending only when the Vehicle is properly returned, secured where applicable and the order is successfully completed in the system.

Services: the CYCLEDIOS Smart Bicycle and Smart DUDU rental service and related digital, payment and customer-support services.

Site Operator: the owner, manager, local authority, attraction operator or authorised operator of the location where the Services are provided.

Vehicle: a Smart Bicycle or Smart DUDU made available through the Services.

2. ELIGIBILITY, ACCOUNT AND USER RESPONSIBILITY

2.1  You must be at least sixteen (16) years old to create an Account or operate a Vehicle. A Site Operator may impose a higher minimum age where required by law, insurance, site rules or safety considerations.

2.2  You must have the physical and mental ability, competence and judgment necessary to operate the selected Vehicle safely. You must not drive while impaired by alcohol, illegal drugs, medication that causes drowsiness, fatigue, illness or any condition that may endanger any person.

2.3  You must provide accurate, current and complete registration and payment information and keep your Account secure. You are responsible for all rentals, charges and activities conducted through your Account, except to the extent caused by CYCLEDIOS’ proven error or a matter for which liability cannot lawfully be excluded.

2.4  You must not sell, assign, lend or transfer your Account or allow another person to use it. If you permit another person to operate a Vehicle rented through your Account, you remain responsible for ensuring that person is eligible and complies with this Agreement.

2.5  CYCLEDIOS may request reasonable proof of identity or eligibility. Access may be refused or suspended if the information is incomplete, false or cannot reasonably be verified.

3. RENTAL PROCESS AND RENTAL PERIOD

3.1  Before unlocking a Vehicle, inspect its brakes, steering, tyres, seat, locks, safety handles or restraints (where provided), and general condition. Do not use a Vehicle that appears damaged, unsafe or unsuitable. Report the issue through the WebApp or Customer Service.

3.2  The Rental Period and charging begin when the Vehicle is unlocked or the rental is activated in the system. A reservation alone will only incur a charge if this is clearly disclosed before confirmation.

3.3  The Rental Period ends only when you return the Vehicle to a Designated Parking Area, park it correctly, secure or lock it as instructed, select “END RIDE” and confirm that the WebApp shows the order as completed.

3.4  Temporary parking, pausing the Vehicle, switching off the display or leaving the Vehicle unattended does not end the Rental Period. Rental charges continue until the order is successfully completed.

3.5  If the system does not show that the order has ended, contact Customer Service promptly and retain reasonable supporting evidence, such as a screenshot or photograph of the parked Vehicle.

4. RENTAL RATES, CHARGES AND PAYMENT

4.1  The rental rate, included rental time, overtime rate, taxes and other applicable charges will be displayed in the WebApp, on the Vehicle, at the rental location or at checkout before the rental begins. Rates may vary by Vehicle model, location, date, promotion or operating period.

4.2  You authorise CYCLEDIOS and its payment service providers to charge your selected payment method for all amounts properly due under this Agreement, including rental charges, overtime, relocation, recovery, cleaning, repair, replacement and other disclosed fees.

4.3  Charges are stated in Malaysian Ringgit (RM) and include applicable taxes where required by law, unless clearly stated otherwise.

4.4  You are responsible for ensuring that your payment method has sufficient funds. If a payment fails, CYCLEDIOS may retry the charge, request another payment method and suspend further rentals until all outstanding amounts are paid.

4.5  You must notify Customer Service promptly if you reasonably dispute a charge. CYCLEDIOS will review available system records and supporting evidence and make any correction required by law or justified by the records.

Advance Payment / Pre-authorization and Refund

4.6 Before the rental begins, CYCLEDIOS may collect an advance payment or pre-authorise an amount equivalent to three (3) or four (4) times the applicable base rental rate, depending on the selected Vehicle type:

  • Smart Bicycle: RM35 × 3 = RM105
  • Smart DUDU: RM35 × 4 = RM140

4.7 Upon completion of the rental, the actual rental fee and any other applicable charges will be deducted from the advance payment or pre-authorised amount. Any remaining balance will be released or refunded to the original payment method.

Examples:

  • Smart Bicycle: RM105 advance payment or pre-authorised amount − RM35 actual rental fee = RM70 balance released or refunded.
  • Smart DUDU: RM140 advance payment or pre-authorised amount − RM35 actual rental fee = RM105 balance released or refunded.

4.8  If the total amount payable exceeds the advance payment or pre-authorised amount, you authorise CYCLEDIOS to charge the outstanding balance to your selected payment method or Account.

4.9  A pre-authorisation is a temporary hold and is not necessarily a completed charge. The release of a hold or receipt of a refund may take additional time depending on the bank, card issuer, e-wallet provider or payment service provider. CYCLEDIOS does not control their processing time.

4.10  If a Vehicle is returned or parked outside a Designated Parking Area, a relocation fee of RM20 may be charged. A higher recovery or towing fee may apply under Clause 10 where actual intervention is required, but CYCLEDIOS will not charge both fees for the same recovery action unless separate services were reasonably required and clearly itemised.

5. SAFE OPERATION AND SITE RULES

5.1  You must comply with all applicable Malaysian laws, Site Operator rules, signs, geofenced routes, speed limits and reasonable instructions given by CYCLEDIOS staff, Rangers or authorised personnel.

5.2  Operate the Vehicle carefully, remain in control and give way to pedestrians. Slow down at corners, junctions, slopes, crossings, crowded areas, wet or uneven surfaces and whenever visibility is limited.

5.3  All passengers must remain properly seated and use the safety handles or restraints provided while the Vehicle is moving. No person may stand, change seats, board or alight while the Vehicle is moving.

5.4  Children who are passengers must be accompanied and supervised by a responsible adult. The driver must ensure that every passenger complies with the applicable safety rules and capacity limit.

5.5  You are encouraged to bring your own properly fitted helmet and wear it at all times while riding a Smart Bicycle to reduce the risk of head injury.

5.6  Park temporarily only in a safe place that does not obstruct pedestrians, other vehicles, entrances, emergency access or public facilities.

6. VEHICLE-SPECIFIC REQUIREMENTS

6.1 Smart Bicycle

·       Passenger capacity must follow the specific bicycle model. A single-rider model must not carry an additional passenger.

·       Remain seated while riding unless the bicycle is specifically designed and approved for another riding position.

·       Do not overload the basket or carry any item that affects balance, steering, braking or visibility.

·       Use only permitted paths and routes. Do not ride on stairs, hazardous surfaces, prohibited roads or restricted areas.

6.2 Smart DUDU

·       The maximum operating speed is 8 km/h or any lower limit imposed by the system, Site Operator, signs or staff.

·       A 3-seat Smart DUDU may carry no more than three (3) persons, including the driver. A 4-seat Smart DUDU may carry no more than four (4) persons, including the driver.

·       Do not exceed the stated seating capacity or permit any person to ride outside a designated seat.

·       Smart DUDU is intended for use only within the authorised tourism or recreational operating area and must not be taken onto a public road or outside the geofenced area unless expressly permitted by CYCLEDIOS and the Site Operator.

7. PROHIBITED USE

You must not:

·       race, chase, perform tricks, jump, drive aggressively or use the Vehicle for any unsafe or unauthorised purpose;

·       use the Vehicle during severe weather, flooding or when operations have been suspended;

·       enter a prohibited, hazardous, unpaved or restricted area, or pass through deep water or any condition likely to damage the Vehicle;

·       tow, push or pull a person, animal, vehicle or object;

·       use a handheld mobile phone, headphones or any device that distracts you while operating the Vehicle;

·       carry flammable, illegal, hazardous or excessively heavy materials;

·       damage, dismantle, alter, deface, obstruct or interfere with any lock, GPS unit, camera, LiDAR, IoT device, safety system, speed control, component or identification mark;

·       attach a separate lock or remove, add or modify any part or accessory without written authorisation;

·       use the Vehicle for advertising, delivery, hire, sub-rental or another commercial purpose without written authorisation; or

·       cause nuisance, obstruction, unreasonable inconvenience, injury or damage to any person, property or the environment.

8. RETURN, PARKING AND ORDER COMPLETION

8.1  Return the Vehicle within the permitted operating hours and to a Designated Parking Area shown in the App, by signage or by staff instruction.

8.2  Park neatly without blocking walkways, roads, entrances, emergency routes or other Vehicles. Follow any bay, stand or orientation markings.

8.3  Lock or secure the Vehicle as instructed and verify that “END RIDE” or an equivalent completion message appears. If a physical secondary lock is provided, it must also be engaged as instructed.

8.4  If a Vehicle is not returned, not secured or not parked in a Designated Parking Area, rental time may continue and relocation, recovery, towing, loss or other applicable charges may be imposed.

9. ACCIDENTS, BREAKDOWNS AND EMERGENCIES

9.1  Stop using the Vehicle immediately if an accident, injury, breakdown, safety warning or suspected defect occurs. Move to a safe location where reasonably possible without creating further risk.

9.2  For an emergency, serious injury, collision, theft or property damage, contact the relevant emergency services or police first, then notify CYCLEDIOS Customer Service as soon as reasonably practicable.

9.3  Do not admit legal liability, negotiate a private settlement or abandon the Vehicle without notifying CYCLEDIOS, except where necessary to obtain emergency assistance or comply with law.

9.4  Provide accurate information and reasonable cooperation, including photographs, location details, witness information and any police report requested for a legitimate investigation.

10. DAMAGE, LOSS, THEFT, CLEANING AND RECOVERY

10.1  You must take reasonable care of the Vehicle during the Rental Period and return it in substantially the same condition, fair wear and tear excepted.

10.2  You may be charged the reasonable repair, replacement, cleaning, relocation or recovery cost arising from your intentional act, misuse, negligence, breach of this Agreement or failure to secure or return the Vehicle. Charges will be based on the available evidence and the actual or reasonably estimated cost.

10.3  If theft or loss occurs, notify Customer Service and the police as soon as reasonably practicable and provide the police report when requested. Where theft or loss resulted from your breach, negligence or failure to secure the Vehicle, you may be charged the reasonable replacement cost, subject to applicable law.

10.4  Where recovery or towing is required because of a breach, restricted-area entry, abandonment or failure to return the Vehicle, CYCLEDIOS may charge a recovery fee of up to RM200, subject to the actual circumstances and reasonable cost.

10.5  CYCLEDIOS will use reasonable efforts to notify you of a material damage, repair, replacement or recovery charge and may provide available supporting details upon request.

11. RIGHTS OF CYCLEDIOS STAFF AND RANGERS

CYCLEDIOS staff, Rangers or authorised personnel may stop a ride, recover a Vehicle or direct a User to leave the operating area if the User:

·       acts dangerously or causes a safety risk;

·       breaches this Agreement, site rules or applicable law;

·       exceeds the passenger or load limit;

·       enters a restricted or non-operating area;

·       appears impaired or medically unfit to continue; or

·       refuses a reasonable safety instruction.

Stopping a ride for a User’s breach does not waive charges already incurred or any reasonable recovery, repair or other applicable charge.

12. SERVICE AVAILABILITY AND VEHICLE CONDITION

12.1  CYCLEDIOS is responsible for routine operation, inspection, maintenance and repair of the Vehicles. However, availability is not guaranteed, and the Services may be interrupted by maintenance, weather, site closure, connectivity, power, payment-system failure, safety concerns or events beyond reasonable control.

12.2  CYCLEDIOS does not guarantee that every Vehicle will be continuously available or free from faults. This does not remove any duty or liability that cannot lawfully be excluded.

12.3  If a ride cannot reasonably continue due to a verified Vehicle or system fault not caused by the User, CYCLEDIOS may adjust the charge or provide another reasonable remedy after reviewing the records.

13. PERSONAL DATA, LOCATION AND RECORDING

13.1  CYCLEDIOS may collect and process information necessary to register your Account, provide the Services, process payments, verify rides, manage safety and incidents, prevent fraud, maintain Vehicles, respond to enquiries and comply with legal obligations.

13.2  Depending on the Vehicle and location, data may include identification and contact details, payment references, ride and transaction records, device and network information, GPS or geofence location, vehicle telemetry, photographs, and CCTV or video recordings.

13.3  Personal data will be handled in accordance with applicable Malaysian data-protection law and the CYCLEDIOS Privacy Notice. Data may be shared with payment providers, Site Operators, technical service providers, insurers, professional advisers, authorities or emergency services where reasonably necessary and legally permitted.

13.4  Operational and safety communications may be sent by App notification, SMS, email or telephone. Marketing messages will be sent only as permitted by law, and you may use the stated opt-out method for marketing communications.

14. PROMOTIONS

CYCLEDIOS may offer promotions, discounts or credits subject to separate terms. Promotions may be limited by location, Vehicle, date, eligibility or availability and have no cash value unless expressly stated. The existence of a promotion for another User does not entitle you to the same offer.

15. ASSUMPTION OF RISK AND LIABILITY

15.1  You acknowledge that riding or operating a Vehicle involves inherent risks, including falls, collisions, changing weather, surface conditions, pedestrian movement and the acts of other persons. You voluntarily accept the ordinary risks inherent in proper use of the selected Vehicle.

15.2  You are responsible for loss, injury, damage, penalties or claims to the extent caused by your unlawful act, intentional misconduct, negligence, misuse of the Vehicle or breach of this Agreement.

15.3  To the maximum extent permitted by law, CYCLEDIOS will not be liable for indirect, incidental, special or consequential loss that was not reasonably foreseeable and did not arise from CYCLEDIOS’ breach, negligence or wilful misconduct.

15.4  Nothing in this Agreement excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded or limited, including any applicable consumer protection right.

15.5  Personal belongings remain your responsibility. CYCLEDIOS and the Site Operator are not responsible for unattended or lost items except to the extent required by law or caused by their proven negligence or wilful misconduct.

16. SUSPENSION AND TERMINATION

16.1  CYCLEDIOS may refuse a rental, suspend an Account or terminate access where reasonably necessary for safety, suspected fraud, unpaid charges, misuse, repeated complaints, breach of this Agreement, legal compliance, maintenance or discontinuation of the Services.

16.2  Where reasonably practicable, CYCLEDIOS will notify you of a suspension or termination and the reason. Immediate action may be taken where necessary to protect users, the public, property, systems or legal interests.

16.3  Termination does not affect accrued charges, existing rights or provisions intended to continue after termination.

17. CHANGES TO THIS AGREEMENT

CYCLEDIOS may amend this Agreement to reflect changes in law, safety requirements, technology, pricing or the Services. Material changes will be communicated through the WebApp, website, email or another reasonable channel before they take effect, except where an urgent change is required for safety, security or legal compliance. Continuing to use the Services after the effective date constitutes acceptance of the updated Agreement.

18. GOVERNING LAW AND DISPUTE RESOLUTION

18.1  This Agreement is governed by the laws of Malaysia.

18.2  If a dispute arises, contact Customer Service first so that the parties may attempt to resolve it promptly and in good faith.

18.3  If the dispute is not resolved, either party may pursue any remedy available under Malaysian law, including a claim before a court or tribunal having jurisdiction. Nothing in this Agreement prevents a User from exercising a non-excludable statutory right.

19. GENERAL TERMS

19.1  If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.

19.2  A delay or failure by CYCLEDIOS to enforce a provision is not a waiver of that provision or any other right.

19.3  This Agreement, together with the applicable rate display, Privacy Notice, promotion terms and site-specific safety rules, forms the agreement governing the Services. If there is a conflict, mandatory law prevails, followed by any expressly stated site-specific term and then this Agreement.

19.4  Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa where the context permits.

21. USER DECLARATION AND ACCEPTANCE

I understand the terms and the nature of the rental activities provided by CYCLEDIOS. I confirm that my participation is voluntary and is not compelled by any person. I agree to cooperate with CYCLEDIOS, the Site Operator, supporting bodies, sponsors and authorized personnel, and to comply with all applicable terms, conditions and safety instructions. I acknowledge and voluntarily accept the ordinary risks inherent in the proper use of the Vehicle, without limiting any right or remedy that cannot lawfully be excluded.

By selecting “AGREE”, making payment, unlocking a Vehicle or commencing a ride, I confirm that:

·       I have read and understood this Agreement;

·       I meet the eligibility requirements and am capable of operating the selected Vehicle safely;

·       I agree to comply with all safety, parking, payment and operational requirements;

·       I authorize the charges described in this Agreement; and

·       I accept responsibility for the Vehicle and its permitted use throughout the Rental Period.

IMPORTANT SAFETY REMINDER: If you are uncertain about your ability to operate a Vehicle safely, do not begin the rental. Senior citizens, pregnant persons, persons with disabilities and anyone with a relevant medical condition should assess their individual circumstances and seek assistance from a Ranger where necessary.
